1. Acceptance of Terms

By downloading, installing, or using Jyv Desktop ("the Software"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Software.

These Terms constitute a legally binding agreement between you and Jyv Technologies, Inc. ("Jyv," "we," "us," or "our") governing your use of the Software and any related services.

You must be at least 13 years old to use the Software. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf.

2. License Grant

Subject to your compliance with these Terms, Jyv grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software for personal or business purposes on devices you own or control.

3. Use Restrictions

You agree NOT to:

• Copy, modify, or distribute the Software without authorization
• Reverse engineer, decompile, or disassemble the Software
• Remove any proprietary notices or labels on the Software
• Use the Software to violate any laws or regulations
• Use the Software to infringe on others' intellectual property rights
• Attempt to gain unauthorized access to our systems or networks
• Use the Software to transmit malware or malicious code
• Share, rent, lease, or sublicense your license to third parties

4. Account Terms

To access certain features, you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activity.

5. Payment & Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in our Refund Policy.

6. Intellectual Property

The Software and all related materials, including but not limited to source code, graphics, logos, and documentation, are owned by Jyv Technologies, Inc. and are protected by copyright, trademark, and other intellectual property laws.

Your license to use the Software does not grant you any ownership rights. All rights not expressly granted are reserved by Jyv.

7. Privacy & Data

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the Software is at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JYV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

In no event shall our total liability exceed the amounts paid by you for the Software in the twelve (12) months preceding the claim.

10. Termination

We may terminate or suspend your access to the Software immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your license to use the Software is revoked. You must uninstall and destroy all copies of the Software in your possession.

Sections relating to intellectual property, disclaimers, limitation of liability, and dispute resolution shall survive termination.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Software or via email.

Your continued use of the Software after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Software.
